2. Scope of These Terms
These Terms apply to:
- your use of the Scalynce website;
- enquiries and consultation requests submitted through the website;
- proposals, quotations, statements of work, and service agreements issued by Scalynce;
- professional services delivered by Scalynce.
A signed proposal, quotation, statement of work, or separate written agreement may contain additional terms. If there is a conflict, the terms of the signed project agreement will take priority for that specific project.
3. Website Use
You may use this website only for lawful purposes.
You must not:
- attempt to gain unauthorized access to the website, server, or connected systems;
- introduce malware, malicious code, automated scraping tools, or disruptive technologies;
- copy, reproduce, or commercially exploit website content without permission;
- use the website in a way that may damage its availability, security, or performance;
- submit false, misleading, abusive, or unlawful information through our forms.
We may restrict or suspend access to the website if we reasonably believe these Terms have been violated.
4. Service Enquiries and Proposals
Submitting an enquiry, booking a call, or requesting information does not create a binding service agreement.
A project becomes binding only when:
- Scalynce issues a written proposal, quotation, or agreement;
- the client accepts it in writing; and
- any required deposit or initial payment has been received.
Each proposal may define:
- project scope;
- deliverables;
- timeline;
- fees and payment schedule;
- number of revisions;
- responsibilities of each party;
- third-party costs;
- specific cancellation or termination conditions.
5. Client Responsibilities
The client agrees to provide all information, content, approvals, access credentials, feedback, and materials reasonably required to complete the project.
The client is responsible for ensuring that:
- all supplied information is accurate and complete;
- supplied content does not violate intellectual property, privacy, advertising, or other applicable laws;
- the client has permission to use all logos, images, fonts, text, data, and other supplied materials;
- feedback and approvals are provided within the agreed timeframe;
- required third-party accounts and subscriptions are maintained.
Delays caused by missing information, approvals, access, or feedback may affect the delivery schedule.
6. Fees and Payment
Fees will be stated in the applicable proposal, quotation, invoice, or service agreement.
Unless otherwise agreed in writing:
- invoices must be paid by the stated due date;
- deposits and advance payments are non-refundable once work has started;
- additional work outside the agreed scope will be quoted separately;
- third-party fees are not included unless expressly stated;
- applicable taxes will be added where required.
Scalynce may pause work or withhold deliverables if an invoice becomes overdue.
The client remains responsible for all approved work completed before a project is paused, cancelled, or terminated.
7. Project Scope and Changes
The agreed scope includes only the deliverables described in the accepted proposal or statement of work.
Requests that materially change the scope, complexity, timeline, or deliverables may require:
- a revised quotation;
- additional fees;
- an updated delivery schedule;
- written approval before work continues.
Minor adjustments included within the agreed revision allowance will not normally be treated as additional scope.
8. Timelines and Delivery
Any delivery dates are estimates unless explicitly confirmed as fixed deadlines in writing.
Scalynce will make reasonable efforts to meet agreed timelines but is not responsible for delays caused by:
- delayed client feedback or approvals;
- missing content, information, or access;
- third-party platforms, hosting providers, plugins, APIs, or service outages;
- changes in project scope;
- circumstances outside our reasonable control.
9. Revisions and Approvals
The number of included revisions will be specified in the project proposal.
A revision means a reasonable modification to an existing agreed concept or deliverable. A new direction, substantial redesign, new feature, or additional deliverable may be considered additional work.
Once the client approves a deliverable in writing, later changes may be charged separately.
10. Third-Party Services
Projects may use third-party products or services, including hosting providers, analytics tools, artificial intelligence platforms, plugins, software, APIs, email services, automation platforms, payment processors, and advertising networks.
Third-party services are governed by their own terms, privacy policies, pricing, and availability.
Scalynce is not responsible for:
- third-party outages or service changes;
- changes to third-party pricing or functionality;
- suspension or termination of a client’s third-party account;
- security incidents originating from a third-party provider;
- decisions, restrictions, or algorithm changes made by search engines, social platforms, or advertising networks.
The client is responsible for reviewing and accepting applicable third-party terms.
11. Artificial Intelligence and Automation
Where AI or automation tools are used, outputs may require human review and may not always be complete, accurate, original, or suitable for every purpose.
The client agrees to review and approve important outputs before publication, implementation, or commercial use.
Scalynce does not guarantee that AI-generated or automated outputs will be free from errors, omissions, bias, similarity to existing content, or third-party claims.
Confidential, personal, regulated, or highly sensitive information should not be submitted to third-party AI tools unless an appropriate processing arrangement and security review are in place.
12. SEO, Marketing, and Performance Results
Scalynce does not guarantee specific rankings, traffic levels, lead volumes, sales, revenue, advertising results, or business outcomes.
Search engines, advertising platforms, social networks, markets, competitors, user behavior, and third-party algorithms are outside our control.
Any forecasts, projections, opportunities, or performance estimates are provided for planning purposes and are not guarantees.
13. Intellectual Property
Unless otherwise agreed in writing, Scalynce retains ownership of:
- pre-existing materials;
- internal processes and methodologies;
- reusable code, frameworks, systems, templates, and tools;
- know-how, concepts, and development techniques;
- materials not created exclusively for the client.
After full payment, the client receives the rights specified in the applicable project agreement for the final approved deliverables.
Third-party assets remain subject to their original licenses. These may include fonts, stock images, plugins, software, themes, APIs, and other licensed materials.
The client retains ownership of materials supplied by the client.
14. Portfolio Use
Unless the client requests confidentiality in writing before the project begins, Scalynce may display the client’s name, logo, public project information, and completed work in its portfolio, website, presentations, case studies, and social media.
Confidential business information will not be intentionally disclosed.
15. Confidentiality
Each party agrees to protect non-public commercial, technical, strategic, and operational information received from the other party.
Confidentiality obligations do not apply to information that:
- is publicly available without breach of these Terms;
- was lawfully known before disclosure;
- is received lawfully from another source;
- must be disclosed under applicable law or a valid legal order.
More detailed confidentiality terms may be included in a separate agreement or non-disclosure agreement.
16. Data Protection
Personal data submitted through this website or processed during a project will be handled in accordance with our Privacy Policy and applicable data-protection requirements.
The client is responsible for ensuring that any personal data supplied to Scalynce has been collected and shared lawfully.
Where Scalynce processes personal data on behalf of a client, the parties may enter into a separate data processing agreement where required.
17. Cancellation and Termination
Either party may terminate a project according to the conditions stated in the applicable proposal or service agreement.
Unless otherwise agreed:
- completed work remains payable;
- approved third-party expenses remain payable;
- deposits are non-refundable once work has started;
- work and final files may be withheld until all outstanding invoices are paid;
- access to services provided on a recurring basis may end on the effective termination date.
Scalynce may terminate or suspend services immediately in cases of non-payment, unlawful conduct, abuse, serious breach, or security risk.
18. Website Availability
We aim to keep the website accessible and accurate, but we do not guarantee uninterrupted availability or that every page will always be free from errors.
We may update, suspend, restrict, or remove website content or functionality without prior notice.
19. Disclaimer
Website content is provided for general informational purposes and does not constitute legal, financial, tax, accounting, or regulated professional advice.
You should obtain appropriate independent advice before making decisions that depend on such matters.
20. Limitation of Liability
To the maximum extent permitted by applicable law, Scalynce will not be liable for indirect, incidental, special, punitive, or consequential losses, including loss of profit, revenue, business opportunity, data, reputation, or anticipated savings.
Where liability cannot legally be excluded, Scalynce’s total liability relating to a project will be limited to the fees paid by the client for the specific services giving rise to the claim, unless a different limitation is stated in the applicable agreement.
Nothing in these Terms excludes liability that cannot lawfully be excluded or limited.
21. Indemnification
The client agrees to be responsible for claims, losses, or expenses arising from:
- materials supplied by the client;
- unlawful or unauthorized use of third-party content;
- instructions provided by the client;
- the client’s misuse of deliverables;
- the client’s breach of these Terms or applicable law.
This section applies only to the extent permitted by applicable law.
22. Force Majeure
Neither party will be responsible for delays or failure caused by circumstances beyond its reasonable control, including natural disasters, war, civil unrest, government action, internet or utility failures, cyber incidents, labor disputes, epidemics, platform outages, or failures of critical third-party providers.
The affected party should notify the other party as soon as reasonably possible.
23. Changes to These Terms
We may update these Terms from time to time to reflect changes in our services, business practices, or legal obligations.
The updated version will be published on this page with a revised “Last updated” date.
Changes will not normally alter an already signed project agreement unless agreed by both parties or required by law.
24. Governing Law and Disputes
These Terms are governed by the laws of France.
The parties should first attempt to resolve any dispute through good-faith discussion.
For agreements between professional parties, and where legally permitted, disputes will be submitted to the competent courts of [Lyon, France].
Mandatory legal protections and jurisdiction rules that cannot lawfully be excluded remain unaffected.
25. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to apply.
The invalid provision will be interpreted or replaced, where possible, in a way that most closely reflects its original purpose.
26. Entire Agreement
These Terms, together with the applicable proposal, quotation, statement of work, Privacy Policy, and any signed agreement, form the agreement between Scalynce and the client regarding the relevant services.
